These Terms of Use (“Terms”) govern access to https://allprobicycles.com and any content or features on that website (the “Site”), including voluntary payment links that open a Square checkout. The Site is operated by All Pro Bicycles (“we,” “us,” or “our”).

By using the Site you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Site or the payment link.

1. Eligibility

The Site is intended for adults and for people acting on behalf of a business. You must be at least 18, or the age of majority where you live. If you contact us or pay us for an organization, you represent that you have authority to do so.

2. Informational use only

Bike and service descriptions, case studies, articles, testimonials are general information. Submitting the contact form, emailing us, or calling us does not create a client relationship and does not obligate either party to proceed.

3. Intellectual property

The Site and its contents — text, graphics, logos, photographs, video, layout, code, and compilation — are owned by All Pro Bicycles or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for personal or internal business use. You may not copy, scrape, republish, modify, or commercially reuse Site content, or use our name or portfolio to imply an endorsement, without our prior written consent.

4. Acceptable use

You agree not to:

Use the Site in violation of law.
Attempt unauthorized access, introduce malware, or overload the Site.
Harvest addresses or send unsolicited promotional messages to contacts found on the Site.
Impersonate us, a client, or any other person.
Submit content that is unlawful, defamatory, infringing, or deceptive..

We may block access, delete submissions, or report activity when we believe these Terms or the law have been violated.

5. Submissions

If you send comments, reviews, feedback, or other content (“Submissions”), you grant us a non-exclusive, worldwide, royalty-free license to use that content to operate the Site and to consider or respond to your message. You represent that you have the right to send it. We do not accept unsolicited confidential ideas unless we have signed a separate nondisclosure agreement.

6. Third-party services

The Site may link to other websites and may load Google Analytics, CookieYes, accessiBe, and YouTube. Those services are outside our control. Your use of them is subject to their terms. We are not responsible for their availability, content, or independent data practices.

7. Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR A PAYMENT LINK WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

This disclaimer applies to the public Site.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRO BICYCLESAND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF THE SITE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US THROUGH THE SITE FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE CLAIM.

These limits do not apply to liability that cannot be limited under applicable law. They apply to use of the public Site.

9. Indemnity

You agree to defend, indemnify, and hold harmless All Pro Bicycles and its owners, employees, and contractors from claims, damages, and reasonable expenses (including attorneys’ fees) arising out of your misuse of the Site, your Submissions, your use of a payment method you are not authorized to use, or your violation of these Terms or a third-party right.

10. Copyright complaints

If you believe content on the Site infringes your copyright, send a notice to allprobicycles@gmail.com that includes: your contact information; a description of the work and of the material you claim is infringing, with its URL; a statement of good-faith belief that the use is not authorized; a statement under penalty of perjury that the notice is accurate and that you are the owner or authorized to act; and your physical or electronic signature. We will respond as required by the Digital Millennium Copyright Act.

11. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Except where a law prohibits this forum selection, you agree that any dispute arising out of the Site or these Terms will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

Before filing a claim, contact allprobicycles@gmail.com and allow 30 days for an informal resolution. This section does not require you to waive any right that cannot be waived, including any applicable right to bring a claim in small-claims court.

12. Changes and termination

We may change these Terms by posting an updated version with a new effective date. We may suspend or discontinue the Site or a payment link at any time. Provisions that should survive — including intellectual property, payments already made, disclaimers, limitations of liability, indemnity, and governing law — will survive.

13. General

If a provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them in connection with a transfer of the studio. These Terms, the Privacy Policy, and any additional terms posted on a specific page are the entire agreement regarding the Site.
